Company Secretary

BankVic is currently looking to appoint a dynamic and experienced full time Company Secretary with a qualification in law. This role reports directly to the Chairman of the Board of Directors and will perform the obligatory Company Secretary duties and responsibilities as required by the Corporations Act, the Company's Constitution and any other relevant legislation or regulation.

As Company Secretary, your main duties and responsibilities will include:

  • Provide expert governance advice to the Board of Directors and the business.
  • Ensure that the Company complies with its statutory obligations under any relevant laws and regulations.
  • Statutory records - maintain registers and ensure requisite retention of documents and records.
  • Ensure completion and lodgement of statutory forms/returns and reporting under the Corporations Act and other relevant legislation/regulation.
  • Board meetings - arrange/co-ordinate, arrange agenda, compile and circulate papers to Directors prior to meetings, take minutes and initiate action to give practical effect to decisions.
  • Assist with signing of contracts and other documentation in connection with administrative matters.
  • Ensure adherence with the Company's Constitution, including planning and coordinating the Director's election.
  • Assist the Chairman and Directors in the conduct of meetings and their governance obligations and responsibilities.

It is important that you have governance expertise to enable you to achieve high results within the role. Previous experience working within the Finance Sector is preferred, however not essential.
